OVERVIEW

Welcome to Dead Tired Coffee. Dead Tired Coffee is a trade name operated by A&A Matriarch Group, LLC. The terms “we,” “us,” and “our” refer to Dead Tired Coffee.

Dead Tired Coffee operates this store and website, including all related information, content, features, tools, products, and services, to provide customers with a curated shopping experience collectively referred to as the “Services.” Dead Tired Coffee is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced herein, collectively referred to as these “Terms of Service” or “Terms,” describe your rights and responsibilities when you access or use the Services.

Please read these Terms carefully. They include important information about your legal rights, order obligations, warranty disclaimers, limitations of liability, and dispute terms.

By agreeing to these Terms, you represent that you are at least the age of majority in your state of residence or that you have given permission for a minor dependent to use the Services through a device or account you own or manage.

To access certain Services, create an account, or complete a purchase, you may be required to provide information including your name, email address, billing information, payment information, and shipping address.

You represent and warrant that all information you provide is accurate, current, and complete and that you have the legal right to provide and use that information.

You are responsible for maintaining the confidentiality and security of your account credentials and for all activity conducted through your account. You must notify us promptly if you believe your account has been accessed or used without authorization.

You may not transfer, sell, assign, or license your customer account to another person.

SECTION 2 - OUR PRODUCTS

Dead Tired Coffee offers coffee, apparel, accessories, appliances, equipment, and other merchandise.

We make reasonable efforts to represent our products accurately. However, product colors and appearance may vary depending on your device, screen, lighting, production method, and display settings.

Apparel and other printed or made to order products may have minor variations in color, positioning, dimensions, texture, or appearance. Coffee and other consumable products may also have natural variations in appearance, aroma, and flavor.

Product photographs, mockups, measurements, tasting descriptions, and other representations are provided for general reference. Subject to applicable law, we do not guarantee that a product’s appearance, flavor, fit, or quality will meet every customer’s personal expectations.

Customers are responsible for reviewing all product descriptions, ingredients, available measurements, size charts, grind options, colors, designs, warnings, care instructions, and compatibility information before purchasing.

All product descriptions, pricing, availability, and purchase options are subject to change without notice. We reserve the right to discontinue products and limit quantities offered to any person, household, geographic region, or jurisdiction.

Nothing on the Services is intended as medical, nutritional, or professional advice. Customers with allergies, sensitivities, medical conditions, dietary restrictions, or concerns about caffeine should review product information and consult an appropriate professional before use.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase the selected products under these Terms and the policies incorporated into them.

We reserve the right to accept, decline, limit, modify, or cancel an order for lawful reasons, including suspected fraud, payment problems, pricing errors, inventory limitations, fulfillment restrictions, product availability, unauthorized resale, or violations of these Terms.

An automated order confirmation acknowledges receipt of your order but does not prevent us from reviewing, declining, modifying, or canceling the order when reasonably necessary.

We must receive and process payment before an order can proceed.

Please review your order carefully before submitting it. Orders may be transmitted automatically to our roasting, printing, production, or fulfillment partners and begin processing within seconds after checkout. Changes and cancellations are not guaranteed.

Once roasting, printing, production, packaging, or fulfillment has begun, an order cannot be changed or canceled.

If we successfully stop an order before processing begins, the canceled order will be refunded to the original payment method.

Sending a cancellation request does not mean the order has been canceled. An order is considered canceled only after Dead Tired Coffee provides written confirmation.

If we decline or cancel an order, we will attempt to notify you using the email address, billing information, shipping information, or telephone number provided with the order.

Purchases are presumed to be for personal or household use unless otherwise authorized through an approved wholesale, reseller, affiliate, or business program. Products may not be purchased for unauthorized resale, export, fraudulent activity, or other unlawful purposes.

SECTION 4 - PRICES, BILLING, AND SUBSCRIPTIONS

Prices, discounts, purchase options, and promotions may change without notice.

The price charged for a one time purchase will be the price displayed when the order is placed and will appear in the order confirmation.

Unless otherwise stated, displayed prices do not include applicable taxes, shipping, or handling charges. These charges are displayed during checkout when applicable.

Prices offered through our online store may differ from prices offered through marketplaces, social commerce platforms, wholesale arrangements, affiliates, physical locations, or third party sales channels.

Promotions may be governed by separate terms. If promotional terms conflict with these Terms, the specific promotional terms will control for that promotion.

You agree to provide accurate and complete purchase, account, billing, and payment information. You agree to update your information promptly so we can process transactions and contact you when necessary.

You represent and warrant that:

The payment information you provide is accurate and complete.
You are authorized to use the payment method.
Charges incurred through your account will be honored by the payment provider.
You will pay all authorized charges, including applicable shipping and taxes.

When you purchase a subscription, you authorize recurring deliveries and automatic charges according to the frequency and terms selected at checkout.

Unless expressly disclosed otherwise, the product price agreed to for an active subscription will remain locked while that subscription remains active. Applicable taxes and shipping charges may change.

Canceling a subscription stops future recurring orders and charges only. It does not automatically cancel an order that has already been created, charged, or transmitted for processing.

SECTION 5 - SHIPPING AND DELIVERY

Dead Tired Coffee currently ships within the United States only.

Processing and delivery times are estimates unless expressly guaranteed. Processing time is separate from shipping transit time.

Coffee, apparel, accessories, appliances, equipment, and other products may be fulfilled by different partners or locations. Products from the same order may arrive in separate packages and on different dates.

We are not responsible for delays caused by shipping carriers, severe weather, holidays, incorrect customer provided shipping information, or events outside our reasonable control.

Tracking information will be provided when available. Carrier tracking may take time to update after a shipping label is created.

Risk of loss passes to the customer upon carrier confirmed delivery, except where applicable law provides otherwise.

If we cannot ship an order within a promised or legally required period, we will provide any delay notice, cancellation option, or refund required by applicable law.

SECTION 6 - INTELLECTUAL PROPERTY

The Services and their contents, including trademarks, brand names, text, product descriptions, displays, images, graphics, photographs, artwork, videos, audio, page designs, logos, characters, mascots, slogans, and the selection and arrangement of those materials, are owned by Dead Tired Coffee, its affiliates, or its licensors and are protected by applicable intellectual property laws.

These Terms permit you to use the Services for personal and lawful shopping purposes only.

Unless we provide prior written permission, you must not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, sell, license, or transmit materials from the Services.

Nothing in these Terms grants you a license or ownership interest in the intellectual property of Dead Tired Coffee, Shopify, our fulfillment partners, or any third party.

Unauthorized use of the Services or their content may violate copyright, trademark, patent, trade dress, privacy, publicity, or other laws.

Dead Tired Coffee names, logos, product names, mascots, artwork, designs, and slogans may be trademarks or protected intellectual property belonging to Dead Tired Coffee or its licensors. You may not use them without prior written permission.

Shopify’s names, logos, products, and services are the property of Shopify. Other names, logos, products, and services appearing through the Services belong to their respective owners.

SECTION 7 - OPTIONAL TOOLS

We may provide access to tools, features, integrations, or services offered by third parties. We do not necessarily monitor, control, or operate those third party tools.

Access to optional tools is provided “as is” and “as available,” without warranties, representations, endorsements, or conditions of any kind, except where applicable law requires otherwise.

Your use of an optional third party tool is at your own discretion and risk. You are responsible for reviewing and agreeing to the third party’s applicable terms and policies.

We may introduce additional tools, resources, integrations, and features in the future. Unless separate terms are provided, those additions will be considered part of the Services and subject to these Terms.

SECTION 8 - THIRD PARTY LINKS AND SERVICES

The Services may include materials, features, integrations, or links supplied or operated by third parties.

We are not responsible for examining or guaranteeing the accuracy, availability, security, policies, or content of third party websites or services.

If you leave our Services to access a third party website or complete a transaction directly with a third party, you do so at your own risk. Review that third party’s policies and terms before completing a transaction.

We are not responsible for harm arising from transactions completed directly with an unrelated third party.

Questions or complaints concerning a product purchased directly from Dead Tired Coffee should be submitted to Dead Tired Coffee under the contact methods listed in these Terms, even when a fulfillment partner helped prepare or ship the product.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

Dead Tired Coffee is powered by Shopify, which enables us to provide the Services.

Sales and purchases completed through our store are made directly between you and Dead Tired Coffee. Shopify is not the seller of products purchased from Dead Tired Coffee and is not responsible for any aspect of those sales, including injury, damage, or loss allegedly resulting from a product or transaction.

To the fullest extent permitted by law, you release Shopify and its affiliates from claims, damages, and liabilities arising from or relating to purchases and transactions made directly with Dead Tired Coffee.

SECTION 10 - PRIVACY AND PERSONAL INFORMATION

Dead Tired Coffee does not and will not sell or rent customer personal information for monetary compensation. We do not treat customer information, purchasing history, contact information, or customer lists as products or as an independent source of revenue.

We do not sell customer lists, payment information, contact information, or purchasing information to data brokers, list brokers, or unrelated businesses for their own direct marketing.

We disclose personal information only when reasonably necessary to operate our business, provide requested Services, process payments, prevent fraud, prepare and fulfill orders, deliver products, communicate with customers, maintain security, comply with legal obligations, and operate analytics or advertising services selected for our store.

Necessary recipients may include Shopify, payment processors, fraud prevention providers, coffee roasters, printers, manufacturers, product suppliers, fulfillment providers, shipping carriers, customer support providers, technology and security providers, professional advisers, analytics services, and advertising platforms connected to our store.

Some state privacy laws define “sale,” “sharing,” and “targeted advertising” more broadly than an ordinary sale for money. Under those laws, certain disclosures to analytics or advertising platforms may legally be classified as selling or sharing even when Dead Tired Coffee receives no monetary payment for the information.

Where required by applicable law, customers may opt out of qualifying data sharing or targeted advertising through the privacy choices, cookie settings, or data sharing opt out tools provided on our website.

We will honor legally recognized privacy preference signals, including qualifying Global Privacy Control signals, when required by applicable law.

Because the Services are hosted by Shopify, Shopify collects and processes information about access to and use of the Services to operate, secure, maintain, and improve its platform.

Information submitted through the Services may be transmitted to Shopify and service providers operating in the United States, Canada, or other locations where those providers process information.

SECTION 11 - FEEDBACK, REVIEWS, AND SUBMISSIONS

If you submit, upload, post, email, message, or otherwise provide ideas, suggestions, reviews, photographs, videos, feedback, proposals, or other content, collectively referred to as “Feedback,” you grant Dead Tired Coffee a perpetual, worldwide, nonexclusive, sublicensable, transferable, and royalty free license to use, reproduce, modify, publish, translate, adapt, distribute, display, and promote that Feedback in any medium for lawful business purposes.

You represent and warrant that:

You own the Feedback or possess all rights required to submit it.
You have disclosed any compensation, free product, discount, or incentive received in connection with the Feedback.
The Feedback is accurate to the best of your knowledge.
The Feedback does not violate these Terms or the rights of another person.

We are not obligated to keep Feedback confidential, provide compensation for Feedback, publish Feedback, or respond to Feedback.

We may monitor, edit, refuse, or remove Feedback that we reasonably believe is unlawful, deceptive, abusive, threatening, defamatory, obscene, infringing, fraudulent, or otherwise objectionable.

Feedback must not violate copyrights, trademarks, privacy rights, publicity rights, contractual rights, or other legal rights. It must not contain malicious code or intentionally false information.

You may not impersonate another person, use a misleading identity, or misrepresent the source of Feedback.

SECTION 12 - ERRORS, INACCURACIES, AND OMISSIONS

Information available through the Services may occasionally contain typographical errors, inaccuracies, omissions, or outdated information involving product descriptions, pricing, promotions, availability, shipping charges, processing times, transit times, photographs, measurements, or other details.

We reserve the right to correct errors, update information, change product details, and cancel or modify affected orders when reasonably necessary.

If we cancel an order because of an error after payment has been collected, we will issue the applicable refund to the original payment method.

Nothing in this section limits rights or remedies that cannot legally be waived.

SECTION 13 - PROHIBITED USES

You may access and use the Services only for lawful purposes.

You may not use the Services, directly or indirectly:

For an unlawful, fraudulent, deceptive, or malicious purpose.
To violate international, federal, state, or local laws or regulations.
To infringe or violate intellectual property, privacy, publicity, contractual, or other rights.
To harass, threaten, abuse, defame, intimidate, discriminate against, or harm another person.
To transmit false, misleading, deceptive, or fraudulent information.
To distribute spam, junk mail, chain letters, unauthorized solicitations, or malicious communications.
To impersonate another person or entity.
To upload, distribute, or transmit malware, viruses, or harmful code.
To interfere with the security, operation, availability, or proper functioning of the Services.
To bypass access restrictions, security controls, robot exclusion headers, or authorization measures.
To collect or track personal information belonging to others without authorization.
To reproduce, duplicate, copy, extract, sell, resell, or exploit the Services or their contents without authorization.
To use automated systems, scraping tools, robots, spiders, data extraction tools, or artificial intelligence tools to access or interact with the Services except as expressly permitted under Section 14.
To engage in conduct that restricts another person’s use of the Services or that may expose Dead Tired Coffee, Shopify, our customers, or our partners to harm or liability.

We may restrict, suspend, disable, or terminate access when we reasonably determine that these Terms have been violated.

SECTION 14 - AGENTS

14.1 This section, referred to as the “Agent Terms,” applies when you use, enable, direct, or deploy an Agent to access, use, or interact with the Services.

“Agent” means software or a service capable of taking autonomous or semiautonomous action on behalf of or at the instruction of a person or entity without continuous direct supervision.

14.2 An Agent may access or interact with the Services only when it identifies itself and complies with these Agent Terms. No Agent may continue accessing the Services after we request that it stop.

14.3 We may use technical or other reasonable measures to limit whether and how Agents access or interact with the Services.

14.4 Agents must:

Identify automated HTTP or HTTPS requests as originating from an Agent and disclose the Agent’s name through an appropriate user agent identifier.
Not conceal or misrepresent that access or interaction is automated.
Not mimic human activity to evade detection.
Not complete, bypass, or circumvent CAPTCHAs or other measures intended to distinguish automated activity from human activity.
Respond truthfully to requests intended to determine whether an interaction comes from a human or automated system.
Not bypass measures intended to block, limit, modify, or control automated access.
Comply with all applicable laws, these Terms, and any additional instructions provided through the Services.

SECTION 15 - TERMINATION

We may suspend or terminate your account or access to all or part of the Services when reasonably necessary, including when we believe you have violated these Terms, engaged in fraud, created security risks, abused the Services, or violated applicable law.

You remain responsible for amounts lawfully due through the date of termination.

Provisions that by their nature should continue after termination will survive, including provisions addressing Intellectual Property, Feedback, Privacy, Disclaimers, Limitations of Liability, Indemnification, Severability, Governing Law, and outstanding payment obligations.

SECTION 16 - DISCLAIMER OF WARRANTIES

Information provided through the Services is made available for general informational purposes. We do not warrant that all information will always be accurate, complete, current, or useful.

Reliance on general information provided through the Services is at your own risk, except where applicable law provides otherwise.

TO THE FULLEST EXTENT PERMITTED BY LAW, AND EXCEPT AS EXPRESSLY STATED BY DEAD TIRED COFFEE, THE SERVICES AND PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

THIS DISCLAIMER INCLUDES IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT TO THE EXTENT THOSE WARRANTIES MAY LEGALLY BE DISCLAIMED.

WE DO NOT GUARANTEE THAT ACCESS TO THE SERVICES WILL ALWAYS BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Nothing in this section eliminates responsibilities concerning merchandise that is damaged, defective, materially misrepresented, or different from what was ordered when those responsibilities cannot legally be disclaimed.

SECTION 17 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, DEAD TIRED COFFEE, A&A MATRIARCH GROUP, LLC, OUR AFFILIATES, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, FULFILLMENT PARTNERS, SERVICE PROVIDERS, LICENSORS, SHOPIFY, AND SHOPIFY’S AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOST DATA, OR REPLACEMENT COSTS, ARISING FROM OR RELATING TO THE SERVICES OR PRODUCTS.

THIS LIMITATION APPLIES REGARDLESS OF WHETHER A CLAIM IS BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANOTHER LEGAL THEORY AND REGARDLESS OF WHETHER THE POSSIBILITY OF DAMAGES WAS DISCLOSED.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN THOSE JURISDICTIONS, OUR LIABILITY WILL BE LIMITED ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

SECTION 18 - INDEMNIFICATION

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Dead Tired Coffee, A&A Matriarch Group, LLC, Shopify, and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, fulfillment partners, and service providers from third party claims, losses, liabilities, damages, judgments, and reasonable legal expenses arising from:

Your material breach of these Terms or policies incorporated into them.
Your violation of applicable law.
Your violation of another person’s rights.
Your fraudulent, malicious, or unauthorized use of the Services.

We will provide reasonable notice of an indemnifiable claim. A failure to provide prompt notice will not eliminate your obligation unless the delay materially prejudices your ability to respond.

We may control the defense and settlement of a claim at your expense, including the reasonable selection of counsel. We will not agree to a settlement that imposes nonmonetary obligations directly on you without your consent, which must not be unreasonably withheld.

You agree to cooperate reasonably in the defense of an indemnified claim.

SECTION 19 - SEVERABILITY

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the greatest extent permitted by law.

Any unenforceable portion will be severed without affecting the validity and enforceability of the remaining provisions.

SECTION 20 - WAIVER AND ENTIRE AGREEMENT

Our failure to exercise or enforce a right or provision of these Terms does not waive that right or provision.

These Terms and the policies or operating rules posted through the Services constitute the complete agreement between you and Dead Tired Coffee concerning your use of the Services.

They supersede prior or contemporaneous communications, proposals, and agreements concerning the same subject matter, whether oral or written.

Nothing in this section limits rights that cannot legally be waived.

SECTION 21 - ASSIGNMENT

You may not delegate, transfer, or assign these Terms or your rights or obligations under them without our prior written consent. Any unauthorized attempted assignment is void.

We may transfer, assign, or delegate these Terms and our rights and obligations as part of a lawful restructuring, sale, transfer, merger, financing, or change in service provider, subject to applicable law.

SECTION 22 - GOVERNING LAW

These Terms and any separate agreements through which we provide Services are governed by and construed in accordance with the laws of the State of North Carolina and applicable federal law, without regard to conflict of law principles.

You and Dead Tired Coffee consent to the jurisdiction of courts with proper authority in North Carolina, except where applicable law provides otherwise.

Headings are included for organization and convenience only. They do not limit, expand, or otherwise affect the meaning of these Terms.

SECTION 24 - CHANGES TO THESE TERMS

You may review the current version of these Terms at any time on this page.

We reserve the right to update, change, or replace these Terms by posting a revised version through the Services.

When required by applicable law, we will provide notice of material changes and identify when those changes become effective.

Your continued use of the Services after updated Terms become effective constitutes acceptance of those changes, except where applicable law requires additional consent.
